Ownership Discovery

Financial Discovery

A detailed analysis of the financial of the practice will be conducted, producing an internal valuation from which to proceed. Accompanying this financial discovery will be a detailed Confidential Information Memorandum (CIM) that appropriately portrays the practice, with regard to all internal and external, micro and macro factors. This will be confidentially discussed with potential buyers, in an effort to receive expressed interest in the purchase of your clinic.

Letter of Interest / Indications of Interest

Proposals from interested parties will be presented to ownership and carefully considered with regard to strengths and weaknesses and appropriateness in achieving your financial goals. All elements will be analyzed before highest and best offers are received.

Due Diligence

Once an appropriate financial buyer and partner is selected, a due diligence period will begin. During this period Quality of Earnings (QoE) calls, site visits, staff introductions, and an overall understanding of your clinic will occur to move towards an Asset Purchase Agreement (APA).


The final step is to move towards the Asset Purchase Agreement. Once fully executed, all parties move towards closing and funding per the agreement directives. Congratulations, you’re on your way to closing.
